The case

On 27 November 2025, FINMA approved the merger of FINcontrol Suisse AG with Neuchâtel-based Organisation de Surveillance Financière (OSFIN).

The commentary

The merger will become legally effective once it has been entered in the commercial register. Following completion of the merger, OSFIN will be dissolved and integrated into FINcontrol Suisse AG. At the same time, FINcontrol Suisse AG will be renamed OSFINcontrol AG.

Supervisory architecture for portfolio managers and trustees: With the entry into force of the Financial Institutions Act (FinIA) and the Financial Services Act (FinSA), the supervisory framework for portfolio managers and trustees was fundamentally reorganised. Since 1 January 2020, independent portfolio managers and trustees have been required to obtain authorisation from FINMA.

Ongoing supervision of compliance with the obligations set out in FinIA, FinSA and the Anti-Money Laundering Act (AMLA) is carried out by supervisory organisations (SOs). These organisations must themselves be authorised by FINMA and are subject to its supervision. In cases of non-compliance, FINMA remains responsible for enforcing financial market law.
